Consulting Services for Financial Transactions

This contract involves providing transaction advisory services to the Industrial Development Agency S.A. from 2025 to 2028. The purpose of the agreement is to establish the terms for public procurement orders that may be issued during its validity, specifically for advisory services related to financial transactions. These transactions may include the acquisition or sale of shares and interests in commercial companies, real estate, business enterprises, individual assets, or organized parts of enterprises; investment fund certificates; or the establishment of a company. Key tasks include conducting financial due diligence, preparing valuations (including net asset value adjustments), creating business plans, reviewing valuations and issuing opinions on the fair value of acquired or sold assets, performing private investor/creditor tests, preparing fairness opinions and financial analyses, updating valuations for consolidated financial reporting, conducting transfer pricing analyses, preparing documentation for planned transactions, conducting tax due diligence, preparing opinions on tax scheme reporting obligations, participating in negotiations and meetings related to the contract execution, and preparing tax opinions. The contracting authority will enter into a framework agreement with a maximum of four contractors.
